Unless you are buying or selling units/businesses every day, you are going to find the TUPE regulations a bit perplexing. 

If you are a contractor providing services you may well find out that you are covered by the TUPE regulations even if you don't get to 'sell' your old contracts or 'buy' your new ones.

Organisations contracting out services, or bringing them back in house are also covered by these regulations.

In fact, sooner or later, just about everyone is going to come face to face with these strange and often irrational regulations.  If anyone mentions TUPE to you, it is time to call us, even if you are completely convinced you have nothing to do with it.

When do you have to elect representatives?   Do you have to consult unions, individuals, elected representatives, works councils?  What about pension funds? Who pays when it goes wrong?  What should your contract with the new owner/client/supplier never say?   What about Data Protection and exchanging data on staff?  What if the new employer wants fewer employees?  Who pays the redundancy pay?  How can you end up with unfair dismissal liabilities for people you have never even met?

And if you are the new employer, you want to be confident you know what you need to know about your staff, since you are going to be the 'new starter' not them!  What if you want to put your newly acquired staff on the same terms as your own original staff?  Can you 'harmonise'?  Can you change people's jobs or hours or pay?  What do you have to do if you want this to 'work'?

Are you the HR Manager in the buying or selling organisation?  Are you being bombarded with requests for data and action when you are already overloaded with something else?  Wouldn't it help to have someone who knows a lot about transfers who can help you get through the workload?
